Welcome to NGAI Software, operated by NGAITA LLC, a California corporation. By accessing or using our website, software, or services, you agree to the following Terms & Conditions.
1. Services Provided
NGAI Software provides subscription-based Assessment-Compliance-Implementation-Monitoring (ACIM) software, downloadable workbooks, and advisory tools.
2. Eligibility
Users must be at least 18 years old and legally able to enter into contracts.
3. Subscriptions & Payments
- Subscriptions renew automatically unless canceled.
- Fees are billed monthly or annually in advance.
- No Refund Policy: All payments for licenses, services, and worksheets are non-refundable, without exception.
4. Trial Periods
Free trials are offered for limited periods. Continuation requires enrollment in a paid subscription.
5. Intellectual Property
All software, content, and materials remain the exclusive property of NGAITA LLC. Users are granted a limited, non-transferable license during their subscription.
6. User Responsibilities
- Use the service lawfully and for internal business purposes only.
- Do not attempt to copy, resell, or distribute NGAI proprietary materials.
7. Confidentiality & Data Protection
Both parties will safeguard confidential information. NGAI Software complies with CCPA/CPRA and international standards (GDPR, HIPAA, etc.).
8. Security Disclaimer
While NGAI Software employs industry-standard security protocols, no system is completely secure. NGAI Software does not guarantee absolute protection against cyberattacks, breaches, or unauthorized access, and shall not be held liable for damages resulting from such incidents.
9. Dispute Resolution & Jurisdiction
- Mandatory Arbitration: Any disputes arising out of this Agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association.
- Jurisdiction: The Agreement is governed by the laws of the State of California, and arbitration proceedings shall be held in [Your County], California.
10. Limitation of Liability
Liability is limited to the total fees paid by the Client in the 12 months preceding the claim.
